These Terms of Use apply to your use of Krebit Sign, a digital signing service provided by Krebit AB, Swedish company registration number 559375-4996, S:t Eriksgatan 121 B, 113 43 Stockholm, Sweden.

In these Terms, "Krebit", "we", "us" and "our" mean Krebit AB. "Customer", "you" and "your" mean the company, organisation or other legal entity that uses or orders Krebit Sign. The person accepting these Terms on behalf of a Customer confirms that they are authorised to do so.

These Terms are intended for business customers.

1. The Service

Krebit Sign is a digital service for electronic signing, document handling and related workflows.

The Service may include, depending on the subscription or order:

  • Electronic signing with available signing methods, including BankID where applicable.
  • Document sending, document review and signing workflows.
  • Document templates, folders and document management.
  • Signing history, audit trails and status tracking.
  • User administration, access rights and customer administration.
  • Support, onboarding, configuration and related services.

The exact scope of the Service is set out in the relevant order, subscription plan, quotation or other written agreement between the parties.

2. Agreement structure

The agreement between Krebit and the Customer consists of:

  • Any signed order form, quotation, subscription confirmation or written agreement.
  • These Terms.
  • Any applicable service description, price list or product documentation.
  • Any applicable Data Processing Agreement.

If the documents conflict, they apply in the order listed above. For matters relating to personal data processed by Krebit on behalf of the Customer, the Data Processing Agreement takes precedence.

3. Access and accounts

The Customer is responsible for all activity carried out through its accounts, users and login credentials.

The Customer must ensure that:

  • Login details are kept secure.
  • Users have the right authority and access level.
  • The number of users does not exceed the purchased subscription.
  • Information submitted to Krebit is accurate and kept up to date.
  • Krebit is notified without undue delay if the Customer suspects unauthorised access, misuse or a security incident.

Krebit may suspend access to the Service if we reasonably believe that an account has been compromised, is being misused or creates a security risk.

4. Permitted use

The Customer may use Krebit Sign for its own internal business purposes and for the purposes agreed with Krebit.

The Customer may not:

  • Copy, resell, lease or make the Service available to third parties unless agreed in writing.
  • Reverse engineer, decompile or attempt to extract source code from the Service, except where mandatory law allows it.
  • Use the Service to build or support a competing service.
  • Interfere with the security, availability or performance of the Service.
  • Upload malicious code or material that is unlawful, misleading, defamatory, fraudulent or otherwise harmful.
  • Circumvent technical limits, access controls or security measures.
  • Use the Service in breach of applicable law, including data protection, sanctions, export control or electronic signature rules.

The Customer is responsible for the content, documents, data and instructions submitted through Krebit Sign.

5. Electronic signing and legal effect

Krebit Sign enables electronic signing through available signing methods, including BankID where applicable.

The Customer is responsible for deciding whether a specific signing method is suitable for a specific document, transaction, jurisdiction or legal requirement.

Krebit does not provide legal advice and does not guarantee that a specific document, signing method or workflow will be valid or enforceable in every situation. The Customer should obtain legal advice where the legal effect of a document or signing process is important.

6. Third party services

Krebit Sign may include or interact with third party services, such as identity providers, communication providers, cloud services, payment providers or customer systems.

Krebit is not responsible for third party services that are outside Krebit’s control. The Customer is responsible for its own agreements, settings and use of such third party services.

Where a third party is used as a sub processor for personal data, this is handled under the applicable Data Processing Agreement.

7. Prices and payment

The Customer must pay all fees set out in the applicable order, subscription plan, quotation or price list.

Unless otherwise agreed:

  • Prices are stated excluding VAT and other taxes.
  • Payment is due according to the invoice or payment terms stated in the order.
  • Subscription fees are charged in advance.
  • Fees already paid are not refundable unless required by law or expressly agreed.

Krebit may charge interest and collection fees for late payment in accordance with applicable law.

Krebit may suspend or terminate the Service if payment remains overdue after written reminder.

Krebit may change standard prices for future subscription periods. The Customer will be informed of material price changes before they take effect.

8. Customer data

The Customer owns all rights to documents, files, content and data submitted to Krebit Sign by or on behalf of the Customer.

The Customer grants Krebit the limited right to process, store, transmit, display and otherwise use Customer data as necessary to provide, secure, support, maintain and improve the Service.

Krebit may use anonymised or aggregated data for statistics, product development, security, quality control and business analysis, provided that such data cannot reasonably identify the Customer, a user or any individual.

The Customer is responsible for ensuring that it has the rights, consents and legal grounds required to upload and process Customer data through the Service.

9. Personal data

The parties agree that personal data may be processed in connection with Krebit Sign.

For personal data that Krebit processes on behalf of the Customer, the Customer is normally the controller and Krebit is the processor. Such processing is governed by a separate Data Processing Agreement.

For personal data that Krebit processes for its own purposes, such as customer administration, billing, sales, support, security and website enquiries, Krebit is the controller. Such processing is described in Krebit’s Privacy Notice.

10. Intellectual property rights

Krebit and its licensors own all rights to Krebit Sign, including software, design, interfaces, workflows, documentation, trademarks, know how and other intellectual property.

The Customer receives a limited, revocable, non exclusive and non transferable right to access and use Krebit Sign during the subscription term and in accordance with the agreement.

No rights are transferred to the Customer except as expressly stated in the agreement.

The Customer may provide ideas, comments or feedback about Krebit Sign. Krebit may use such feedback without restriction or compensation, provided that Krebit does not disclose the Customer’s confidential information.

11. Confidentiality

Each party must protect confidential information received from the other party and may only use it for the purposes of the agreement.

Confidential information includes business, technical, financial, commercial, security and customer information that is marked as confidential or should reasonably be understood to be confidential.

Confidentiality does not apply to information that:

  • Is publicly known without breach of the agreement.
  • Was already known by the receiving party without confidentiality obligation.
  • Is independently developed without use of the confidential information.
  • Must be disclosed by law, court order, authority decision or stock market rules.

Confidentiality obligations continue after the agreement ends for as long as the information remains confidential.

12. Security and availability

Krebit works to maintain appropriate technical and organisational security measures for Krebit Sign.

The Customer acknowledges that no digital service can be guaranteed to be free from interruptions, errors or security risks. Krebit will take reasonable steps to prevent and handle incidents, but does not guarantee uninterrupted access unless a specific service level agreement has been agreed.

Planned maintenance, emergency maintenance, third party outages, customer configuration errors and events outside Krebit’s reasonable control may affect availability.

13. Support and changes

Krebit provides support according to the applicable subscription, agreement or support terms.

Krebit may update, improve, modify or remove functions in Krebit Sign. We will not intentionally remove material functionality from a paid service without reasonable notice, unless required for security, legal, operational or technical reasons.

Krebit may update these Terms from time to time. Material changes will be notified in a reasonable manner before they take effect. Continued use of the Service after the effective date means that the Customer accepts the updated Terms.

14. Warranties and disclaimers

Krebit Sign is provided as available and as described in the agreement.

Krebit does not warrant that:

  • The Service will be uninterrupted or error free.
  • The Service will meet requirements not expressly agreed in writing.
  • Third party services will always be available.
  • The Customer’s use of Krebit Sign will ensure compliance with all laws or internal policies.

The Customer is responsible for its own legal, commercial and compliance assessments.

15. Limitation of liability

Neither party is liable for indirect loss, loss of profit, loss of revenue, loss of business opportunity, loss of goodwill, loss of anticipated savings or consequential damages.

Krebit’s total liability under the agreement is limited to the fees paid by the Customer for Krebit Sign during the twelve months before the event giving rise to the claim.

The limitation does not apply to liability that cannot be limited under mandatory law, or to the Customer’s payment obligations.

The Customer must notify Krebit of any claim without undue delay after becoming aware of the circumstances giving rise to the claim.

16. Indemnity

The Customer must indemnify Krebit against claims, losses, damages, costs and expenses arising from:

  • The Customer’s unlawful use of Krebit Sign.
  • Customer data or documents uploaded to Krebit Sign.
  • Instructions given by the Customer.
  • The Customer’s breach of these Terms.
  • The Customer’s breach of applicable law or third party rights.

17. Term and termination

Krebit Sign is provided for the subscription period or term stated in the relevant order or agreement.

Unless otherwise agreed, paid subscriptions renew automatically for the same period unless terminated before renewal in accordance with the applicable notice period.

Either party may terminate the agreement with immediate effect if the other party materially breaches the agreement and does not remedy the breach within a reasonable time after written notice.

Krebit may suspend or terminate access immediately if continued use creates a security risk, legal risk, payment risk or risk of harm to Krebit, the Service, other customers or third parties.

18. Consequences of termination

When the agreement ends, the Customer’s right to use Krebit Sign ends.

The Customer should export or delete Customer data before the end of the subscription where the Service provides such functionality.

Krebit may retain data where required by law, for legitimate business records, for security reasons or to establish, exercise or defend legal claims.

Provisions that by their nature should survive termination remain in force, including confidentiality, payment obligations, intellectual property, limitation of liability and governing law.

19. Assignment and subcontractors

The Customer may not assign the agreement without Krebit’s prior written approval.

Krebit may assign the agreement to a group company or in connection with a merger, restructuring, sale of assets or transfer of business.

Krebit may use subcontractors to provide Krebit Sign. Krebit remains responsible for subcontractors in accordance with the agreement. Sub processors are handled under the applicable Data Processing Agreement.

20. Force majeure

A party is not liable for failure or delay caused by circumstances outside its reasonable control, including war, labour conflict, government action, natural disaster, major internet disruption, cyberattack, failure of third party infrastructure or other similar events.

This does not apply to the Customer’s payment obligations.

21. Governing law and disputes

The agreement is governed by Swedish law, without regard to conflict of law principles.

Any dispute arising from or in connection with the agreement shall be settled by the courts of Sweden, with Stockholm District Court as the court of first instance, unless the parties agree otherwise in writing.
